uncltr Terms of Service

1. Acceptance of Terms

By accessing or using uncltr (the “Service”), you agree to be bound by these Terms of Service (the “Terms”). These Terms apply to all visitors, users and others who access or use the Service. If you disagree with any part of the Terms, you may not access the Service.

2. Eligibility and Account

To use certain features of the Service, you may need to create an account. You must be at least 13 years old to use the Service. When you create an account, you agree to provide accurate and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your account and password and for any activities that occur under your account.

3. Services Provided

uncltr provides a digital productivity dashboard that allows you to track work shifts, university classes, assignments, personal events, and other tasks. Features may include viewing upcoming events for the next two weeks or month, adding or editing tasks, syncing with third-party calendars (e.g. Google Calendar), categorizing events by type (such as work, university, personal or fitness), using a Pomodoro timer to manage focus sessions, adding quick tasks and deadlines, and receiving recommendations or content via RSS feeds.

The Service includes a natural-language assistant that allows you to add events by typing or dictation, a focus timer with customizable work and break intervals, shortcuts to external sites, and integration settings where you can choose which calendars to sync and define keyword rules to classify events. Additional features may be added, modified or removed at any time.

4. User Responsibilities

You agree to use the Service only for lawful purposes and in compliance with these Terms and any applicable laws and regulations. You are responsible for all content you submit through the Service (including event names, notes, deadlines and voice or text inputs) and for ensuring that such content does not infringe any third-party rights or contain unlawful material. You must not misuse the Service by introducing malware, attempting to gain unauthorized access, or using the Service to perform harmful or illegal activities.

You agree to abide by the terms of any third-party services integrated with the Service (such as Google Calendar, Spotify or RSS feeds). When connecting your accounts, you authorize us to access and process data from those services as described in our Privacy Policy.

5. Content and Data

You retain ownership of the information and content you submit to the Service. By using the Service, you grant uncltr a non-exclusive, worldwide, royalty-free license to use, store, display and process that content for the purpose of operating and improving the Service. We do not claim ownership of your content, and we will not publicly display your personal data without your permission.

6. Third-Party Services

The Service may integrate or interact with third-party services, including Google Calendar, Spotify, ChatGPT, learning management systems, and RSS feeds. These services are not operated by uncltr, and we do not control or assume responsibility for their content, privacy policies or practices. When you enable a third-party integration, you agree to the terms and privacy policies of those services and authorize us to share relevant information with them to enable the integration. We are not liable for any damage or loss caused by your use of third-party services.

7. Guest Mode

The Service may offer a guest mode that allows you to try the dashboard without creating an account. In guest mode, all data is stored locally in your browser and is automatically cleared after a period of inactivity. Guest data is not synchronized across devices, and once cleared, it cannot be recovered. For persistent storage and synchronization, you must create an account.

8. Fees

The Service is currently offered free of charge. We reserve the right to introduce fees for certain features or subscriptions in the future. If we introduce fees, we will provide notice and an opportunity to accept the new terms before they take effect.

9. Modifications and Availability

We may modify the Service or its features at any time without prior notice. We do not guarantee that the Service will always be available or uninterrupted. We reserve the right to suspend, discontinue or change the Service, temporarily or permanently, at our discretion.

10. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis without warranty of any kind. uncltr makes no representations or warranties of any kind, express or implied, regarding the operation of the Service, the accuracy or completeness of information provided, or the suitability of the Service for any particular purpose. Use of the Service, including reliance on any suggestions or recommendations, is at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law, uncltr and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill or other intangible losses, resulting from (a) your use or inability to use the Service; (b) any conduct or content of any third party on the Service; or (c) unauthorized access, use or alteration of your transmissions or content. In no event shall our total liability exceed the amount you paid us (if any) for the Service during the prior twelve months.

12. Indemnification

You agree to indemnify and hold harmless uncltr and its affiliates, officers, agents and employees from any claims, damages, obligations, losses, liabilities, costs or debt arising from your use of the Service, your violation of these Terms, or your violation of any third-party right.

13. Termination

We may terminate or suspend your account or access to the Service at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply stop using the Service or contact us to request deletion of your account data.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which uncltr is established, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located within that jurisdiction to resolve any disputes arising out of or relating to these Terms or the Service.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty days’ notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms.
